Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Plantilla workforce management application, available on the web at www.useplantilla.com and as native mobile applications on iOS and Android (collectively, the “Service”). The Service is provided by Pelican Sport Center Inc. (“Plantilla,” “we,” “us,” or “our”).

By creating an account, signing in, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.

1. The Service

Plantilla is a workforce management platform used by organizations (each, an “Organization”) to schedule employees, track hours, manage time-off, coordinate coverage, communicate with staff, and administer related workforce functions. The Service is designed to be used by employees, managers, and administrators of Organizations that have authorized its use for their workforce.

2. Accounts and Eligibility

Who Creates Accounts

Accounts on the Service are created by an authorized manager or administrator of an Organization on behalf of that Organization’s employees. The Service is not a consumer-facing product; you may not sign yourself up independently of an Organization that has authorized your use.

Eligibility

The Service is not directed to children under 13. If you are a minor employee (typically ages 14 to 17 in the United States, depending on state law), you may use the Service only when added by an employer in accordance with applicable child labor laws and with parental or guardian consent where required.

Account Security

You are responsible for keeping your account credentials (password, biometric login, passkey, or two-factor authentication method) confidential and secure. You are responsible for all activity that occurs under your account. Notify us or your Organization’s administrator promptly if you become aware of any unauthorized access or use.

Accurate Information

You agree to provide accurate, complete, and current information in connection with your account, and to update your information as needed to keep it accurate.

3. Acceptable Use

You agree not to:

  • Use the Service in any way that violates applicable law, including labor law, employment law, wage-and-hour law, and anti-discrimination law
  • Impersonate another person or misrepresent your affiliation with any person, entity, or Organization
  • Access, tamper with, or use non-public areas of the Service, our computer systems, or the technical delivery systems of our service providers
  • Attempt to probe, scan, or test the vulnerability of the Service or any related system, or to breach any security or authentication measures
  • Access or search the Service by any means other than the interfaces we provide (including scraping, spidering, or similar activity)
  • Send, upload, or transmit any material that is unlawful, defamatory, harassing, threatening, abusive, obscene, or otherwise objectionable, or that infringes any intellectual property or other right of any person
  • Interfere with, disrupt, or degrade the operation of the Service or of any user’s use of the Service
  • Use the Service to build a competitive product or copy any features, functions, or graphics of the Service
  • Reverse engineer, decompile, or disassemble any portion of the Service, except to the extent that applicable law expressly permits despite this limitation

4. User Content

The Service allows you and other users within your Organization to submit content, including messages, photos, announcements, shift notes, handoff notes, availability entries, and other information (collectively, “User Content”). As between you and Plantilla, you and your Organization retain all rights in User Content submitted to the Service.

You grant Plantilla a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, adapt, and otherwise use User Content solely as needed to operate, provide, and improve the Service on your behalf and on behalf of your Organization. This license terminates when the User Content is deleted, except to the extent required to fulfill legal obligations or maintain backup and audit copies for a commercially reasonable period.

You are responsible for the User Content you submit and for ensuring you have all necessary rights, permissions, and consents to submit it. You represent and warrant that your User Content does not violate these Terms, applicable law, or the rights of any third party.

5. Organization Data and Roles

Data submitted through the Service by employees and managers of an Organization is treated as data of that Organization. The Organization is responsible for determining who within its workforce has access to the Service and at what role (Employee, Manager, Admin, or Owner). Different roles have different capabilities within the Service; features that are available to you depend on the role your Organization has assigned to your account.

Your employer (as the Organization) has access to your employment-related information and may use that information for legitimate business purposes. Additional detail on what information is visible to whom is set out in our Privacy Policy.

6. Subscriptions and Billing

Access to the Service by an Organization may be free of charge or provided under a paid subscription arranged directly between the Organization and Plantilla. When a paid subscription is in effect, payment terms, billing frequency, renewal, and cancellation are set out in a separate subscription agreement between Plantilla and the Organization. Individual employees are not billed for use of the Service.

Plantilla is a business-to-business service. Consistent with Apple App Store Review Guideline 3.1.3(b), any subscription purchase or upgrade is made outside the mobile application by the Organization’s account administrator.

7. Intellectual Property

The Service, including all software, designs, text, graphics, logos, and other materials that are not User Content, is owned by Plantilla or its licensors and is protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms and solely for its intended purpose.

“Plantilla,” the Plantilla logo, and related marks are trademarks of Pelican Sport Center Inc. Other trademarks referenced in the Service are the property of their respective owners.

8. Third-Party Services

The Service integrates with third-party services (such as Google Sign-In, Sign in with Apple, push notification providers, and AI service providers) as described in our Privacy Policy. Your use of any third-party service is subject to that provider’s own terms and privacy policy. Plantilla is not responsible for the availability, accuracy, or content of third-party services.

9. Termination

Your access to the Service may be suspended or terminated by your Organization at any time (for example, when your employment ends). Plantilla may suspend or terminate your access if you violate these Terms, if we suspect fraud or abuse, or if we are required to do so by law.

You may request deletion of your account at any time from inside the application (Account Settings → Delete my account) or by contacting us at the address below. Upon deletion, your personal information is removed subject to the legal retention exceptions described in our Privacy Policy.

The provisions of these Terms that by their nature should survive termination (including sections on User Content license, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) survive.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PLANTILLA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

The Service assists with workforce management tasks but does not itself constitute legal, tax, payroll, or employment advice. You and your Organization are responsible for ensuring compliance with all applicable laws, including labor, wage-and-hour, and record-keeping requirements.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PLANTILLA, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL PLANTILLA’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOUR ORGANIZATION TO PLANTILLA FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

12. Indemnification

You agree to indemnify and hold harmless Plantilla, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with (a) your access to or use of the Service, (b) your violation of these Terms, or (c) your violation of any right of a third party.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be brought exclusively in the state or federal courts located in Morris County, New Jersey, and you consent to the jurisdiction of those courts.

14. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date at the top of this page reflects the most recent revision. Material changes will be communicated through the Service or by email to the address associated with your account. Your continued use of the Service after the changes become effective constitutes acceptance of the revised Terms.
